These Terms of Use (“Terms”) govern your access to and use of the Tannin Bar LLC (“Tannin Bar,” “we,” “us,” or “our”) website, including reservation, waitlist, and email sign-up features (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Age Requirements

Tannin Bar is a bar establishment serving alcoholic beverages. Our licensed premises are restricted to individuals 21 years of age or older, subject to applicable Utah law. You must be at least 21 years old to make a reservation or join a waitlist for Tannin Bar through the Site. We reserve the right to refuse or cancel a reservation that does not comply with applicable age requirements. Age verification may be required upon entry.

2. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Provide false or misleading information when making a reservation, joining a waitlist, or signing up for communications

• Use the Site in a way that could damage, disable, overburden, or impair it

• Attempt to gain unauthorized access to the Site or related systems

• Use automated means to scrape or access the Site without our prior written consent

3. Reservations and Third-Party Services

Reservations and waitlist requests made through the Site may be processed using Resy. Orders and payment processing may be handled using Toast. The Site may also link to or integrate with third-party platforms and services, including social media, mapping, analytics, and other providers.

Your use of third-party services is subject to their respective terms and privacy practices. Tannin Bar is not responsible for the availability, security, content, or practices of those third-party services. A reservation is not confirmed until you receive a confirmation from us or our reservation platform.

4. Privacy

Your use of the Site is also subject to our Website Privacy Policy, which explains how we collect, use, disclose, and otherwise process personal information. Please review the Privacy Policy for information about our privacy practices.

5. Communications

If you sign up for marketing communications, you may unsubscribe at any time using the unsubscribe link provided in our marketing emails. Transactional or service communications relating to reservations, purchases, or other interactions you initiate may still be sent where appropriate.

6. Menus, Pricing, Hours, and Availability

Menus, wine selections, vintages, pricing, operating hours, event information, and availability shown on the Site are subject to change without notice. We make reasonable efforts to keep information current but do not guarantee that all information displayed on the Site is complete, accurate, or current.

7. Food Allergies and Dietary Information

Information regarding ingredients, allergens, dietary preferences, or menu modifications is provided for general informational purposes. Please inform our staff directly of any food allergy or dietary restriction before ordering.

8. Intellectual Property

All content on the Site, including text, graphics, logos, images, and other materials, is owned by or licensed to Tannin Bar and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission, except as permitted by law.

9. Disclaimers

The Site is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent those warranties may lawfully be disclaimed. We do not warrant that the Site will be uninterrupted, secure, error-free, or that reservation availability or other information displayed on the Site will always be accurate.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Tannin Bar LLC and its owners, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of, or inability to use, the Site. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. To the extent permitted by law, any dispute arising from these Terms or use of the Site will be subject to the exclusive jurisdiction of the applicable state or federal courts located in Utah, with venue in Summit County where jurisdiction and venue are proper.

12. Changes to These Terms

We may update these Terms from time to time. Changes become effective when posted unless otherwise stated. The “Last updated” date identifies the most recent revision.

13. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with any additional terms expressly applicable to particular Site features, constitute the agreement between you and Tannin Bar regarding use of the Site.
